These Terms and Conditions (hereafter “Terms”) govern your access to and use of the Nextpeer platform (hereafter the “Platform” or the “Service”), including the website, mobile app, and all associated services provided by Nextpeer (collectively referred to as the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. Please read these Terms carefully and review them periodically, as we may modify them at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.

1. Acceptance of Terms

By creating an account, accessing, or using the Nextpeer Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. You also acknowledge that your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. Nextpeer may, at any time, modify these Terms, and such modifications will be effective immediately upon posting. Your continued use of the Service after any changes to these Terms will signify your acceptance of the modified Terms.

2. Overview of Services

Nextpeer provides a platform for mental health support, which includes, but is not limited to:

  • Nora, an AI-powered companion designed to offer general support related to mental health challenges such as stress, anxiety, and loneliness.
  • Access to peer support groups, where users can connect with others facing similar challenges in a community-based environment.
  • Multilingual support for accessibility across different regions, ensuring communication in users' preferred languages.

The Platform is designed to facilitate support and community engagement, but it is not a substitute for professional therapy, psychiatric services, or medical advice. Nextpeer is not a licensed healthcare provider, and no part of the Service should be construed as providing medical or psychological diagnosis, treatment, or advice.

3. User Eligibility

To use the Nextpeer Service, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction.
  • Provide accurate, truthful, and complete information during the registration process.
  • Use one of our secure sign-in methods:
    • Phone number (no password required).
    • Google Sign-In or Apple Sign-In.

We do not require passwords, offering a secure and user-friendly approach to account access. If you believe your account has been compromised, you must notify us immediately. Nextpeer will not be liable for any loss or damage resulting from unauthorized access due to your failure to secure your account. We reserve the right to terminate accounts that violate these eligibility criteria or are found to provide false information.

4. What Nextpeer Does Not Do

It is important to note that while Nextpeer offers mental health support, we do not provide clinical therapy or psychiatric treatment. The following limitations apply to the Service:

  • Nextpeer is not a healthcare provider. We do not provide diagnoses, treatments, or recommendations for medications.
  • Nextpeer is not a substitute for professional medical or psychological care. If you are in crisis or require immediate medical attention, you must seek help from a licensed professional or call emergency services.
  • Nextpeer is not responsible for emergency mental health support. If you are experiencing an emergency, you should contact emergency services immediately.
  • Nora and peer groups are not licensed counselors. Any advice, information, or support provided by the AI or peer groups is for general information purposes only and should not be taken as medical or therapeutic guidance.

By using the Platform, you acknowledge these limitations and agree that you will not hold Nextpeer responsible for any outcomes related to your mental health based on information obtained through the Service.

5. Account Registration and Security

When creating an account with Nextpeer, you agree to:

  • Provide accurate and truthful information.
  • Secure your account by keeping your sign-in method private.
  • Notify us immediately of any unauthorized use of your account.

We prioritize security, but you are responsible for safeguarding your access credentials. Nextpeer will not be liable for any loss resulting from unauthorized access to your account.

6. Payment and Subscription

Nextpeer offers both free and paid subscription options, designed to make mental health support accessible and affordable.

Subscription Fees

  • Monthly Subscription: $9.99 USD per month.
  • Yearly Subscription: $99.99 USD per year (billed annually)

Terms of Subscription

  • Subscription Fees: Subscription fees are billed at the beginning of each billing cycle and are non-refundable, except where required by law.
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless canceled at least 24 hours before the end of the current cycle.
  • Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to paid features until the end of the current billing period.

Nextpeer reserves the right to change its subscription fees at any time. We will notify you of any fee changes at least 30 days in advance.

7. User Conduct and Obligations

You agree to use the Nextpeer Platform only for lawful purposes and in accordance with these Terms. Prohibited conduct includes, but is not limited to:

  • Harassing, abusing, or harming other users or engaging in any activity that violates the rights of others.
  • Posting, transmitting, or sharing content that is defamatory, obscene, harmful, or offensive.
  • Impersonating any person or entity, or falsely representing your affiliation with any person or entity.
  • Engaging in activities that violate local, state, national, or international laws.

Nextpeer reserves the right to terminate your account and block your access to the Platform if we determine that you have engaged in prohibited activities or violated these Terms.

8. Confidentiality and Data Security

At Nextpeer, your privacy and the confidentiality of your information are paramount. We use state-of-the-art encryption technologies to secure your communications and personal data. However, despite our best efforts, no system is completely secure. By using the Platform, you acknowledge that:

  • Your personal information is protected as per our Privacy Policy.
  • You are responsible for safeguarding your own account information and ensuring that you do not share sensitive data in an insecure manner.
  • Nextpeer cannot guarantee the security of your information while it is being transmitted over the internet or stored within our systems.

9. Intellectual Property Rights

All content on the Nextpeer Platform, including but not limited to, text, software, images, logos, trademarks, and other materials, is owned or licensed by Nextpeer.   • Copy, modify, distribute, or create derivative works from any part of the Platform.
  • Reverse-engineer, disassemble, or otherwise attempt to derive the source code of the Platform.
  • Use the Platform or its content for commercial purposes without explicit permission from Nextpeer.

Any unauthorized use of the Platform may result in termination of your access and legal action.

10. Disclaimers and Limitation of Liability

Disclaimer of Warranties: The Nextpeer Platform is provided on an “as-is” and “as-available” basis. Nextpeer makes no warranties or representations, either express or implied, about the accuracy, reliability, or availability of the Service. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.

Limitation of Liability:

To the fullest extent permitted by law, Nextpeer, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, damages for personal injury, emotional distress, mental health crises, suicide, self-harm, or any other form of harm arising out of or related to your use of the Platform, whether resulting from direct interactions, guidance from AI, or peer support services provided through the Platform. This includes any loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Nextpeer provides AI-driven mental health support, but it does not replace professional mental health services. We do not assume responsibility for the actions or outcomes of users based on their use of the Platform. If you are experiencing a mental health crisis, we strongly encourage you to seek help from a licensed mental health professional or emergency services.

Your sole remedy for dissatisfaction with the Service or any outcome of your use of the Platform, including but not limited to any self-harm or mental health crisis, is to stop using the Platform.

11. Third-Party Services and Links

The Nextpeer Platform may contain links to third-party websites or services that are not owned or controlled by Nextpeer. We do not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. By using the Platform, you acknowledge that Nextpeer will not be liable for any loss or damage caused by your use of any third-party websites or services.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nextpeer and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Nextpeer reserves the right to terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your rights to use the Platform will cease immediately, and any data or content you have uploaded to the Platform may be deleted.

If your account is terminated, you may lose access to all data associated with your account, including content and subscriptions.

14. Dispute Resolution and Governing Law

These Terms and any disputes arising out of or related to these Terms or the Nextpeer Platform shall be governed by the laws of  Texas, USA without regard to its conflict of law provisions.
